Bylaws
Bylaws of the InKy Clowns, Incorporated
Mission Statement: To promote laughter and smiles among "children of all ages" by way of
education and fellowship to promote and advance the art of clowning.
1. Membership shall be open to all persons regardless of race, religion or gender so long
as membership is maintained in our national organization, Clowns Of America International,
also known as COAI.
a. Membership shall be divided into three classes:
a.1. Regular Joeys are clowns sixteen years of age or older.
a.2. Junior Joeys are clowns under the age of sixteen.
a.3. Associate members are those who are interested in helping further the Alley's
mission while they are not themselves clowns.
b. Members who are present at the organizational meeting shall have the distinction of
being Charter Members.
c. Continued membership shall be based on maintaining both alley and CO.A.I. dues
and following alley rules as set forth by a 3/5 majority of members resent at a regularly
scheduled meeting.
2. All Joeys are responsible for their own costuming and makeup.
3. The officers will consist of:
a. President
b. Vice President
c. Secretary
d. Treasurer
e. News letter editor
f. Chaplin
g. All of the Above
4. The duties of the officers are:
a. The President shall conduct the meetings and be one of the three possible
second signatures for any financial accounts owned by the Alley.
b. The Vice President shall conduct the meeting in the absence of the President and
shall become President if for any reason the President is unable to fulfill his/her duties. The
VP shall be one of the three possible second signatures for and financial accounts owned
by the Alley.
c. The Secretary shall keep accurate records of the minutes of the meetings and the
membership of the Alley. They shall also make such records available to the membership as
is necessary for conducting the business of the Alley. The Secretary shall be one of three
possible second signatures for any financial accounts owned by the alley.
d. The Treasurer shall keep accurate financial records and make regular reports to
the membership at meetings. The Treasurer shall be one of the required signatures for any
financial accounts owned by the Alley.
5. Terms of office are for two years, running concurrent with the calendar. Elections are
to be held in the November meeting. Only regular Joeys are eligible to hold office.
6. The Alley shall Be Named InKy Clowns.
6. The Alley shall Be Named InKy Clowns, Inc. Also known as INKY CLOWNS.
7. Changes to the By-Laws after the initial adoption shall be made only by a 3/5 majority
of the entire (voting eligible) membership.
8. Voting privileges are granted to regular Joeys only.
9. Check Your Ego at the Door. All members and their respective contributions are
equally important. While an idea that one brings out may or may not be the shape of the
final fruition of that concept it is just as important as all the other steps that take us to the
end product. We must all strive to do the best that we can with our diverse sets of talents
and resources so that the alley as a whole will move forward and thus help improve the art
of clowning in our area as a whole. While at times special recognition may be awarded; it at
no time means that the member being recognized is any more important than any other
member. This includes but is not limited to those who hold office in this organization.
* If we should disband as an alley any remaining funds should be donated to Clowns of
America International's Scholarship fund.
By-Laws as adopted October 2000 and amended by addition of wording regarding COAI
membership and dues February 2003 and amended by changing terms of office December
2006.
